Terms & Conditions of Use

Welcome to Mintrade Limited, hereinafter referred to as "Mintrade" or "we/our". We provide a software-as-a-service ("SaaS") solution through our website mintrade.xyz ("Website"). This software ("Software") enables you (hereinafter referred to as "User") to create trading rules on third-party cryptocurrency exchanges and have them executed automatically.

These Terms of Use (hereinafter referred to as "Terms", "Terms of Use" or "Service Terms"), the Privacy Policy, and the Cookie Policy govern the relationship between Mintrade and its Users for any use of the Website and Software provided by Mintrade. This constitutes the entire, complete, and binding agreement between you and Mintrade with respect to the Software and the Website. You are not allowed to use the Website and the Software without accepting these Terms.

You should also read our Privacy Policy, which is incorporated into these Terms of Use by reference, available at mintrade.xyz/privacy. Additionally, you should read our Cookie Policy, incorporated into these Terms of Use by reference, available at mintrade.xyz/cookies. If you do not wish to be bound by these Terms of Use, our Privacy Policy, or our Cookie Policy, please do not use or access the Software.

These Terms of Use contain important information about your rights, obligations, conditions, limitations, and exemptions. Please read these Terms of Use carefully before using the Software. By using the Software in any way and for any purpose, whether with a user account or without one, from any device or location, you acknowledge and agree to the following:

You have read and understood these Terms of Use and agree to be bound by the Terms effective at each date you use the Software;
You assume all obligations stated herein;
You are of legal age and have the capacity to use the Software;
You are not subject to any jurisdiction that explicitly prohibits the use of similar software;
You understand and accept that Mintrade is experimental Software and does not accept any liability for financial losses;
You use the Software at your own discretion and risk.

Please note that the use of Mintrade: (i) is not within the jurisdiction of the Financial Ombudsman Service, (ii) is not covered by the Financial Services Compensation Scheme, and (iii) is not included under either of the programs mentioned in (i) or (ii) or protected by them.

Definitions

1.0.1 Mintrade: Mintrade Limited, a limited liability company established under the laws of Turkey. The company is registered with *****. The company's registered office is located at Fulya Mah. Mehmetcik Cad No 35 D 15 Sisli Istanbul, Turkey.

1.0.2 "Agreement" means these Terms of Use and any Supplemental Terms that apply to your use of our Services.

1.0.3 "We", "Our", "Mintrade" mean Mintrade Limited.

1.0.4 "You" means any individual or entity using or accessing the Services or designated as the user when registering for the Services.

1.0.5 User(s): Individuals or entities using the Website or Software. Also referred to as "you".

1.0.6 Software: The Software developed and fully owned by Mintrade, enabling users to create various trading rules via a user-friendly digital interface.

1.0.7 "Website" refers to the Mintrade website located at mintrade.xyz, including all subdomains, content, and related services.

1.0.8 Rules: Trading strategies created using indicators like price, volume, and market value. The range of rules may change based on future modifications to Mintrade's interface.

1.0.9 Free Trial: A trial version of the Software provided to Users for a limited time at no cost. The Free Trial version has limited rules and functionalities.

1.1.0 Subscription: One of the selected paid plans that allows Users to use the Software. You can choose a monthly or yearly subscription plan during registration.

1.1.1 "Blockchain" refers to a distributed digital ledger, maintained by nodes or computer systems within a network, connected with cryptographic hashes.

1.1.2 "DeFi", "Decentralized Finance", refers to an ecosystem of financial applications built on blockchain networks.

1.1.3 "Digital Asset" means any cryptocurrency, crypto asset, blockchain-based token, or other digital asset supported by the Services.

1.1.4 "Integration" refers to the Uniswap protocol or any other DeFi project or Protocol that we may decide to integrate in the future.

1.1.5 "Services" mean the products and services offered by Mintrade, including DeFi integration, the Website, and the Application.

1.1.6 "Uniswap Labs" refers to the company that has contributed significantly to the Uniswap Protocol and developed a range of products supporting the Uniswap ecosystem.

1.1.7 "Uniswap Protocol" means the largest decentralized trading and automated market maker protocol on the Ethereum Blockchain.

1.1.8 "Ethereum Blockchain" means the decentralized, open-source blockchain network that supports the development and deployment of smart contracts and decentralized applications on the Ethereum platform.

1.1.8.1 "Protocol" refers to a set of rules and guidelines followed for communication, data transfer, and transaction processing by different blockchain networks.

1.1.8.2 "Smart Contract" means a self-executing contract with the terms of the agreement directly written into code, stored, and executed on a blockchain network.

1.1.8.3 "Decentralized Application" (or "DApp") refers to a software application that uses blockchain technology and smart contracts to operate without a central authority.

Registration and Personal Account

2.1 To use our Website and Software, visit our website mintrade.xyz.

2.2 You will need to register and create a personal account to access the Software for the first time. You can register using your personal email to use the Website and the Software.

2.3 You must protect your account login details and keep your password strictly confidential. We assume that all activities conducted from your account are conducted by you or under your supervision.

2.4 You agree to provide up-to-date, accurate, and complete information in your account. You agree to keep your personal account information up to date when necessary so that we can contact you when needed.

Offers and Pricing

3.1 All offers and free trials on the Website are non-binding. However, all offers and free trials are always subject to these Terms.

3.2 Depending on your jurisdiction, prices on the Website may include or exclude taxes and charges.

3.3 We reserve the right to adjust prices based on digital market conditions. You agree that price changes will take immediate effect.

Free Trial

4.1 During registration, you may have the option to choose a Free Trial, which grants you the right to use the Software under the Free Plan for a limited time.

4.2 Some functionalities may be subject to restrictions during the Free Trial. Mintrade reserves the right to change the structure, duration, and availability of trading rule options within the Free Trial.

4.3 Mintrade reserves the right to introduce or withdraw the option for Users to choose a Free Trial at any time.

Subscription and Payment

5.1 You need a Subscription to use the Website, the Software, and its broad functionalities.

5.2 Subscriptions are provided for a fixed fee on a monthly and/or yearly basis, depending on the plan you select during registration.

5.3 Mintrade offers various Subscription plans. Each plan differs in, but is not limited to, access to trading rules, exchanges, template strategies, educational content, and other relevant options.

5.4 The subscription fee is billed automatically each month/year. Possible payment methods are authorized through authorized payment intermediaries and displayed on the Website; these include credit cards such as Visa or MasterCard.

5.5 By selecting a payment option, you authorize us to initiate a payment or series of payments on your behalf through payment intermediaries. All your payment information will be secured with confidentiality. Neither Mintrade nor payment intermediaries have access to your financial data.

5.6 A monthly subscription continues on a month-to-month basis unless the User cancels the subscription before the end of the already-paid period.

5.7 An annual subscription automatically renews after its term unless the User cancels the subscription before the end of the already-paid period.

5.8 Users can cancel their subscription at the end of the already-paid period. The User's account will remain active for the duration of the period already paid for.

5.9 Data in the User's account may be subject to deletion after the cancellation of a Subscription or Trial.

Cancellation

6.1 Users have the right to cancel their Subscriptions, Trials, and Accounts at any time.

6.2 Mintrade reserves the right not to refund payments made by Users for the duration they have selected. Even if Users cancel their subscription before their term expires, the fee paid for that period will not be refunded, and Users may continue to use the services during that time.

Refund Policy

7.1 If a User has paid for a particular subscription plan and decides to cancel this plan per Clause 6 above, Mintrade reserves the right to allow the User to request a refund within one week (7 days) of the subscription start date.

7.2 After one week (7 days) from the subscription start date, Mintrade has full discretion on refunds for Users who cancel their subscriptions but did not request a refund within Clause 7.1.

7.3 In all other cases, Mintrade reserves the right not to refund payments made by Users for the selected duration.

Account Deletion

8.1 If you wish to terminate your activity on Mintrade and permanently delete your account and user information, you have the right to request Mintrade's Support Team to delete your account and all associated data.

8.2 Any data you provided during your activity on Mintrade will not be retained, and your account will be permanently deleted. To delete your account, please send an email to hello@mintrade.xyz.

User License

9.1 This is a license grant, not a transfer of ownership. This means you are granted temporary access to the Software during the Free Trial or, alternatively, continuous access during a paid Subscription. Under this license, you may not: modify or copy materials; use the materials for any commercial purpose or any public display (commercial or non-commercial); attempt to decompile or reverse engineer any software contained on Mintrade's Website; remove any copyright or other proprietary notations from the materials; or transfer the materials to another person or "mirror" the materials on any other server. All intellectual property objects within Mintrade, including all information, data, products, materials, services, software applications, and tools provided or used to operate the Software, APIs, design elements, texts, images, photos, drawings, audio and video content, artwork, and graphics, are licensed to you, not sold.

9.2 This license shall automatically terminate if you violate any of these restrictions and may be terminated by Mintrade at any time.

9.3 For all content and data you create or make available via the Software ("User Content"), you grant Mintrade a license that is unrestricted, transferable, sublicensable, non-exclusive, irrevocable, and worldwide for as long as permitted by applicable law. This right includes modifying, editing, and translating User Content, as well as storing, reproducing, distributing, making publicly available, transmitting, publicly and privately disclosing, and making User Content accessible in any way. This includes, without limitation, all trading strategies you create, the names of these strategies, and the settings you create for these strategies.

9.4 Mintrade may use User Content for various purposes, such as strategy development, improving system performance, adding new features, and enhancing community feedback. User Content may be anonymized and processed using technologies like statistical analysis, artificial intelligence, and machine learning without disclosing users' identities or personal information. This data can be used to analyze the performance rates of strategies, develop more effective strategies sensitive to market conditions, identify challenges faced by users, and improve the overall user experience. Mintrade may use insights from these processes to enhance platform efficiency, provide personalized recommendations, and optimize the platform to meet users' needs.

9.4.1 Mintrade may also share this anonymized and processed data with third parties for strategy development and platform performance improvement purposes. These shares are conducted to improve Mintrade's services or to enable third-party partners to conduct analyses to improve the user experience. However, no personal information or user identity is disclosed during these shares.

9.5 All strategies, strategy names, and settings created by Users on the Mintrade platform belong to Mintrade, and the intellectual property rights to these are transferred to Mintrade upon creation. Mintrade has the right to use, copy, modify, distribute, publish, and share these strategies for any commercial or non-commercial purpose.

Disclaimer and Representations

10.1 All materials and content provided on Mintrade's Website are provided "as is" without any warranty. Mintrade does not guarantee that these materials will be error-free, complete, continuously accessible, or suitable for a particular purpose. Additionally, all implied warranties, such as merchantability, fitness for a particular purpose, intellectual property non-infringement, or other rights violations, are expressly disclaimed.

10.2 Mintrade does not guarantee or make any representation about the accuracy, reliability, or possible outcomes resulting from the use of the materials on the Website. Similarly, Mintrade does not guarantee the accuracy or reliability of materials on the Website in relation to content provided by links to other sites.

Limitation of Liability

11.1 In no event shall Mintrade or its suppliers be liable for any damages arising out of the use or inability to use the materials provided on the Website, including but not limited to data loss, financial losses, business interruption, and injuries. Even if Mintrade or an authorized Mintrade representative has been notified orally or in writing of the possibility of such damages, no liability is accepted.

11.2 To the fullest extent permitted by applicable law, Mintrade and parties collaborating with Mintrade shall in no way be liable for indirect, consequential, exemplary, incidental, punitive, or special damages or loss of profits, regardless of whether based on contract, tort, negligence, strict liability, warranty, or any other liability theory.

11.3 Clause 11 applies universally to all Users, irrespective of geographic location or jurisdiction.

Accuracy of Materials

12.1 The materials provided on Mintrade's Website may contain technical, typographical, or photographic errors. Mintrade does not guarantee that the materials on the Website are accurate, complete, or up-to-date.

12.2 Mintrade reserves the right to make changes to the materials on the Website without notice. However, Mintrade is not obliged to update these materials.

Marketplace

13.1 Mintrade may provide Users with access to third-party services, including but not limited to the "Marketplace".

13.2 The Marketplace is designed for exchanging cryptocurrency trading strategies and related tools.

13.3 The Marketplace does not provide any financial advice to its subscribers, even though it provides access to strategies.

13.4 The Marketplace may not be used for illegal activities such as money laundering, fraud, or financing terrorist activities.

Mintrade reserves the right to fully review all linked sites on the Website and is not responsible for the content of any linked sites. The accuracy and reliability of data provided by linked sites on Mintrade's Website is limited solely to the obligations of the operators of these sites.

Amendments

Mintrade reserves the right to revise these Terms or the Website at any time without prior notice. By using this Website, you agree to be bound by the current version of the terms of service.

Trademarks

MINTRADE.xyz and our logos, product service names, slogans, and Software are owned by Mintrade and cannot be copied, imitated, or used in whole or in part without our prior written permission. All other trademarks, registered trademarks, product names, and company names or logos mentioned in the Services are the property of their respective owners. Any reference to trade names, trademarks, manufacturers, suppliers, or other information does not imply endorsement, sponsorship, or recommendation by Mintrade.

Applicable Law

These Terms are governed by and construed in accordance with the laws of Turkey. You unconditionally agree to the exclusive jurisdiction of the courts of Turkey.

Restricted Territories, Individuals, and Entities

18.1 If you reside in or are a citizen of a country subject to embargo by Turkey or the European Union, you are prohibited from using the Website and Software. Similarly, if you are an individual, entity, or group listed on the United Nations Security Council's sanctions list or are in a region where these services are prohibited by law, you cannot use these services.

18.2 You represent and warrant that you are not residing in a country restricted by Turkey or the European Union, that you are not a citizen of such countries, and that you will not use the services in restricted areas. You agree to use the services only in areas permitted by law.

18.3 Mintrade may take technical measures to block access to the Website and Software from restricted areas. Even if measures to restrict access are ineffective or bypassed, you agree not to access the services from restricted areas and to comply with the rules.

Mintrade Investment Disclaimer

19.1 No Investment Advice.

The information provided on this Website does not constitute investment advice, financial advice, trading advice, or any other form of advice. You should not consider the content of this Website as such. Mintrade does not recommend buying, selling, or holding any cryptocurrency. Nothing on this Website should be considered an offer to buy, sell, or hold any cryptocurrency. You should conduct your research and consult your financial advisor before making any investment decisions. Mintrade cannot be held responsible for any investment decisions made based on information provided on the Website, Software, Mintrade's social media channels, or any other platform.

19.2 Accuracy of Information.

Mintrade will strive to ensure the accuracy of information listed on the Website, on our social media accounts (X, Instagram, Telegram, Facebook, LinkedIn, etc.), or through any of our communication channels, but Mintrade cannot be held responsible for incomplete or inaccurate information. You must understand that you are using all information provided by Mintrade AT YOUR OWN RISK. You agree to take adequate steps to verify the accuracy and completeness of any information on the Website, Mintrade's social media platforms, or other communication channels.

19.3 Price Risk.

Bitcoin and other cryptocurrencies can be highly volatile. Prices can rise or fall more than 100% in a single day. This could mean potential profit, but it also means potential losses. You should only invest money you can afford to lose. Cryptocurrency trading may not be suitable for all users of this Website. Anyone wishing to invest in cryptocurrencies should consult a fully qualified, independent professional financial advisor.

19.4 No Affiliation with Any Cryptocurrency.

Mintrade is not affiliated with any cryptocurrency. Mintrade allows users to create automated trading strategies executed on third-party cryptocurrency exchanges. Mintrade securely stores User information and does not disclose User data directly to cryptocurrency exchanges.

19.5 Execution Risk.

Trading strategies set on Mintrade are executed on third-party exchanges. Mintrade is not a trading platform and does not store or trade cryptocurrencies. Any execution errors or other events related to third-party exchanges are COMPLETELY BEYOND MINTRADE'S CONTROL. Mintrade accepts no liability for errors related to third-party exchanges. You continue to use third-party exchanges at your own risk. All financial risks related to your trading decisions are solely your responsibility.

Decentralized Finance Integration

20.1 Integration of decentralized finance (DeFi) projects or protocols, such as the Uniswap Protocol, is part of the services provided by Mintrade. Mintrade does not own or control these DeFi protocols and does not guarantee their operation, security, or availability.

20.2 By using DeFi integration, you confirm that you understand and accept the risks associated with decentralized finance. These risks include, but are not limited to, smart contract vulnerabilities, liquidity risks, and market volatility.

20.3 Mintrade cannot be held liable for any loss or damage resulting from the use of DeFi protocols.

Approved Mintrade Partners Terms and Conditions

21.1 Mintrade maintains a list of approved partners who meet our partnership criteria. These partners are authorized to provide additional services or integrations that complement the functionality of the Mintrade Software.

21.2 Approved partners must comply with Mintrade's standards and guidelines to ensure that the services they provide are reliable, secure, and add value to Mintrade users.

21.3 Mintrade reserves the right to modify or terminate collaboration with any partner at its discretion if the partner fails to comply with Mintrade's terms or if the partnership no longer aligns with Mintrade's strategic goals.

21.4 Users use the services provided by approved partners at their own risk. Mintrade accepts no liability for the actions, omissions, or performance of partners.

21.5 Disputes arising from services provided by approved partners must be resolved directly between the user and the partner. Mintrade does not assume the responsibility to resolve or mediate disputes on behalf of its partners.

21.6 By using the services of approved partners, Users agree to comply with the additional terms and conditions set by the partner. These terms apply in addition to and independently of Mintrade's Terms of Use.
